These Terms of Service (“Terms”) govern access to and use of the AnswerAll website, dashboard, and AI-driven call/text answering services (collectively, the “Service”), operated by Studio Nallan (“AnswerAll,” “we,” “us,” or “our”). By creating an account, subscribing to a plan, or otherwise using the Service, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
AnswerAll provides an AI-powered call-answering and lead-capture service for local service businesses. The Service uses third-party voice AI infrastructure (currently provided by Reception.ai and its underlying telephony/communications providers) to answer incoming calls, engage callers via a website chat widget, qualify leads, and relay information to the Client according to the Client's configured settings.
AnswerAll acts as an intermediary that configures, deploys, and manages this AI infrastructure on the Client's behalf. We do not guarantee the accuracy, tone, or outcome of any individual AI-generated interaction, and Section 9 (AI-Generated Content Disclaimer) applies to all use of the Service.
2. Eligibility
The Service is intended for businesses and individuals operating in a professional capacity in Canada and the United States. By using the Service, you represent that:
- You are at least 18 years old and have authority to bind the business you represent to these Terms;
- The information you provide during signup is accurate and current; and
- Your use of the Service complies with applicable law in your jurisdiction.
3. Account Registration
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at info@studionallan.com of any unauthorized use.
4. Subscription Plans, Fees, and Billing
4.1 Plans
AnswerAll offers the following subscription tiers, as described on our pricing page at the time of signup:
- Starter — $247 CAD/USD per month, 1 concurrent call, no setup fee.
- Growth — $397 CAD/USD per month, up to 3 concurrent calls, one-time setup fee equal to one month's subscription rate (first invoice: $794).
- Custom — for multi-location or high-volume clients; pricing quoted following a consultation call, with a setup fee equal to one month of the quoted rate.
Exact current pricing, currency, and features are as published on the AnswerAll website and may be updated from time to time; changes will not apply retroactively to an active billing cycle without notice.
4.2 Billing
Subscriptions are billed monthly in advance via our payment processor, Stripe. By subscribing, you authorize us to charge your payment method on file on each billing date until you cancel.
4.3 Setup Fees
Setup fees (Growth and Custom tiers) cover configuration and onboarding work, are charged with the first invoice, and are non-refundable once onboarding work has commenced, except as expressly stated in Section 4.5.
4.4 Late or Failed Payments
If a payment fails, we may retry the charge, suspend the Service, or terminate the account after 7 days of non-payment, subject to notice to the Client.
4.5 Money-Back Guarantee
Clients on a first-time subscription may request a full refund of their first month's subscription fee (excluding any setup fee) within 14 calendar days of their initial activation date, provided the request is made in writing to info@studionallan.com. This guarantee applies once per Client and does not apply to renewal periods, the Growth/Custom setup fee, or add-on usage charges.
4.6 Taxes
Fees are exclusive of applicable sales, GST/HST, or other taxes, which will be added to invoices where required by law.
5. Cancellation and Termination
5.1 By the Client
You may cancel your subscription at any time through your dashboard or by written notice to info@studionallan.com. Cancellation takes effect at the end of the current paid billing cycle; no partial-month refunds are issued outside the guarantee described in Section 4.5.
5.2 By AnswerAll
We may suspend or terminate your account, with or without notice, if you: (a) breach these Terms; (b) fail to pay fees when due; (c) use the Service for unlawful, abusive, or harassing purposes; or (d) pose a security or legal risk to us or our third-party providers.
5.3 Effect of Termination
Upon termination, your access to the dashboard and AI answering configuration will end. We may retain call/interaction records as required by law or as described in our Privacy Policy.
6. Client Responsibilities
You agree to:
- Provide accurate business information, scripts, FAQs, and instructions used to configure the AI system;
- Ensure you have the legal right to route your business phone number and/or website chat traffic through the Service;
- Obtain any consents required under applicable law (including call-recording and SMS-consent laws) from your own customers and callers, as further described in Section 8;
- Not use the Service to impersonate any person or entity, transmit unlawful, defamatory, or fraudulent content, or interact with emergency services (the Service is not a substitute for 911/emergency call handling); and
- Review AI-handled interactions periodically to ensure they reflect your business accurately.
7. Acceptable Use
You may not use the Service to: violate any law; send unsolicited bulk communications; harvest personal data unlawfully; interfere with the security or operation of the Service or our third-party providers' infrastructure; or reverse-engineer, resell, or white-label the underlying AI technology without our written consent.
8. Call Recording, Transcription, and Consent
The Service may record, transcribe, and analyze calls and chat interactions in order to operate, including via our third-party AI provider(s). You, as the Client, are solely responsible for complying with all applicable call-recording, wiretapping, and consent laws in the jurisdictions where you and your callers are located (including two-party consent requirements in certain jurisdictions). We recommend including a call-recording disclosure in your own outbound greeting or website disclosures. AnswerAll is not liable for a Client's failure to obtain required consents from its own customers.
9. AI-Generated Content Disclaimer
The Service uses artificial intelligence to interpret and respond to callers and website visitors in real time. AI-generated responses may occasionally be inaccurate, incomplete, or fail to reflect your business's current offerings, pricing, or policies. You are responsible for reviewing and correcting the configuration, scripts, and knowledge base provided to the AI, and for monitoring interactions for quality. AnswerAll disclaims liability for lost business, missed appointments, or customer dissatisfaction arising from AI-generated responses, to the maximum extent permitted by law (see Section 12).
10. Third-Party Services
The Service relies on third-party infrastructure, currently including Reception.ai and underlying telephony/SMS carriers (e.g., Twilio or similar providers) and our payment processor. Your use of the Service is also subject to the applicable terms of these providers where disclosed to you. We are not responsible for outages, errors, or data handling practices of third-party providers beyond our reasonable control, though we will make commercially reasonable efforts to notify Clients of material service disruptions.
11. Intellectual Property
AnswerAll and its licensors retain all right, title, and interest in the Service, including software, branding, and documentation. Clients retain ownership of their own business content, scripts, and data submitted to configure the Service. You grant AnswerAll a limited license to use such content solely to provide the Service to you.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED RESPONSES WILL BE ACCURATE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANSWERALL AND STUDIO NALLAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST BUSINESS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU TO ANSWERALL IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14. Indemnification
You agree to indemnify and hold harmless AnswerAll, Studio Nallan, and their respective officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your failure to obtain required caller/customer consents; or (c) your misuse of the Service.
15. Confidentiality
Each party agrees to protect the other's confidential business information disclosed in connection with the Service and to use it only for purposes of performing under these Terms.
16. Force Majeure
Neither party is liable for delays or failures in performance resulting from causes beyond its reasonable control, including outages of third-party AI, telephony, or payment infrastructure.
17. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or dashboard notice at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms shall first be addressed through good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the courts located in Ontario, Canada.
19. General
These Terms, together with the Privacy Policy, constitute the entire agreement between you and AnswerAll regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce a provision is not a waiver of that provision.
